1. Agreement to Terms

By accessing or using GoodDevs services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Description of Services

GoodDevs provides the following services:

• AI Enablement: Assessment, tooling and model selection, and integration to help businesses adopt AI effectively
• Operational Efficiency with AI: Process automation and AI-driven workflow improvements
• Development Team Validation: Independent assessment of development team activities, code quality, progress, and responsible use of AI

3. User Responsibilities

As a user of our services, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Use our services only for lawful purposes
• Not interfere with or disrupt our services or servers
• Not attempt to gain unauthorized access to any part of our services

4. Service Agreements and Payments

4.1 Service Scope: The specific scope of services will be outlined in a separate Statement of Work (SOW) or service agreement.

4.2 Payment Terms: Payment terms, including fees, payment schedules, and accepted payment methods, will be specified in your service agreement. Unless otherwise stated:

• One-time services require payment before work commences
• Recurring services are billed at the beginning of each billing cycle
• Late payments may result in service suspension
• All fees are non-refundable unless otherwise stated in writing

5. Confidentiality

5.1 Mutual Obligations: Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the engagement.

5.2 GoodDevs Commitment: We will not disclose your business information, code, or validation findings to third parties without your explicit written consent, except as required by law.

6. Intellectual Property

6.1 Client IP: You retain all rights to your existing intellectual property and any materials you provide to us.

6.2 Deliverables: Ownership of project deliverables will be transferred to you upon full payment, unless otherwise specified in the service agreement.

6.3 GoodDevs IP: We retain ownership of our methodologies, tools, templates, and general knowledge developed independently of client engagements.

7. Warranties and Disclaimers

7.1 Service Quality: We warrant that our services will be performed in a professional manner consistent with industry standards.

7.2 Validation Services: Our validation reports are based on the information and access provided to us. While we perform thorough assessments, we cannot guarantee the detection of all issues.

7.3 Disclaimer: EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODDEVS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Any damages exceeding the fees paid by you in the 12 months preceding the claim

9. Termination

9.1 By Client: You may terminate our services by providing written notice as specified in your service agreement. You remain responsible for payment of services rendered up to the termination date.

9.2 By GoodDevs: We may terminate or suspend services immediately if you breach these terms, fail to make payments, or if we believe your actions may harm our business or other clients.

10. Dispute Resolution

10.1 Good Faith Negotiation: In the event of a dispute, both parties agree to first attempt resolution through good faith negotiation.

10.2 Mediation: If negotiation fails, disputes will be submitted to mediation before pursuing other remedies.

10.3 Governing Law: These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which GoodDevs operates.

11. Indemnification

You agree to indemnify and hold GoodDevs harmless from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these terms
• Your violation of any rights of another party
• Any content or information you provide to us

12. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of any material changes by posting the new terms on our website and updating the "Last updated" date. Your continued use of our services after changes constitutes acceptance of the new terms.

13. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these terms will otherwise remain in full force and effect.
